    By accessing or using our website (insyd.ai) and our business operating system/automation tools (collectively, the "Services"), you ("User", "Customer", or "you") agree to be bound by these Terms of Use ("Terms"). If you are entering into these Terms on behalf of a company (such as an architecture firm), you represent that you have the authority to bind that entity to these Terms.

    If you do not agree to these Terms, you must not access or use the Services.

    2. Scope of Services

    Insyd provides a Business-to-Business (B2B) software-as-a-service (SaaS) platform designed for architecture and interior design firms. Our Services include, but are not limited to, lead management, workflow automation and business intelligence software.

    Disclaimer: Insyd is a technology provider, not an architectural or design firm. We do not provide professional design advice, structural engineering consulting, or legal compliance regarding construction norms.

    3. Account Registration and Security

    • Eligibility: You must be at least 18 years old and a registered business entity or professional to use our Services.
    • Credentials: You are responsible for maintaining the confidentiality of your login credentials. You are liable for all activities that occur under your account.
    • Notification: You agree to notify us immediately of any unauthorized use of your account at mail@insyd.ai.

    4. Subscription and Payments

    • Fees: Access to certain features requires a subscription ("Subscription Plan"). You agree to pay the fees applicable to your selected plan.
    • Taxes: All fees are exclusive of applicable taxes (including GST), which will be charged in addition to the subscription fees.
    • Billing Cycle: Fees are billed in advance on a recurring basis (monthly or annually) as per your plan.
    • No Refunds: Unless strictly required by law, all payments made are non-refundable.

    5. Intellectual Property Rights

    A. Our IP

    Insyd owns all rights, title, and interest in the Platform, including the software code, algorithms, user interface, designs, and trademarks. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

    B. Your Data (User Content)

    You retain ownership of all data, files, portfolio images, and client information you upload to the Platform ("User Content").

    By uploading User Content, you grant Insyd a worldwide, royalty-free license to access, store, and process this content solely for the purpose of providing the Services to you (e.g., generating reports, automating emails).

    6. User Obligations and Conduct

    You agree NOT to:

    • Use the Services for any unlawful purpose or in violation of any Indian laws.
    • Upload any content that infringes on the intellectual property or privacy rights of others.
    • Reverse engineer, decompile, or attempt to extract the source code of the Platform.
    • Resell, lease, or sublicense the Services to a third party without our written consent.
    • Build or use bots to gather information from the platform in an automated manner.

    7. Data Privacy and Client Data

    • Your Responsibilities: As you use Insyd to manage your clients (End-Clients), you act as the "Data Fiduciary" (Controller) for their data. You represent and warrant that you have obtained all necessary consents from your clients to input their personal data (e.g., names, phone numbers, project details) into our Platform for processing.
    • Our Role: We act as a "Data Processor," handling this data strictly in accordance with your instructions and our Privacy Policy.

    8. Limitation of Liability

    To the maximum extent permitted by law:

    • "As Is" Basis: The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
    • Liability Cap: Insyd's total liability to you for any claims arising out of these Terms or your use of the Services shall strictly be limited to the amount you paid to us in the 12 months preceding the claim.
    • Exclusion: We shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business reputation.

    9. Termination

    • By You: You may cancel your subscription at any time through your account settings. Your access will continue until the end of the current billing cycle.
    • By Us: We may suspend or terminate your account immediately if you breach these Terms (e.g., non-payment, misuse of platform).

    10. Governing Law and Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka.
